GENERAL TERMS AND CONDITIONS FOR BUSINESS CUSTOMERS FOR THE USE OF THE SHOP FOR COMPANIES (SHOP GTC)

1 GENERAL

1.1 These general terms and conditions (hereinafter “GTC”) apply to the purchase of goods that are presented in the “Shop for Companies” (hereinafter “Shop”) by INGE creative marketing consulting  (hereinafter “INGE”). As part of the ordering process, the customer accepts the terms and conditions in the version applicable at the time the order is placed. INGE’s offers are aimed exclusively at entrepreneurs in accordance with Section 14 of the German Civil Code (BGB). INGE and the transport company (hereinafter “customer”) act in the form of an agency relationship through which Ventire will procure the goods for the customer from a supplier.

1.2 The general terms and conditions of INGE apply exclusively to the contractual relationship. INGE is entitled to change these terms and conditions at any time. The German version is binding. Deviating general terms and conditions of the customer do not apply, even if INGE does not contradict them.

2 USE OF THE SHOP, REGISTRATION

2.1 Registration is required to use the shop.

2.2 When registering, the customer must provide the required data completely and truthfully. The customer is obliged to treat the personal access data confidentially and not to make it accessible to unauthorized third parties. INGE is under no obligation to accept the registration. The registered customer has to change his personal login area accordingly.

3 CONCLUSION OF CONTRACT

3.1 Our presentation of goods in the shop does not yet contain a binding sales offer. By sending his order, the customer submits a binding offer according to § 145 BGB to conclude a contract to which he is bound for 14 days. If necessary, the customer also transmits all information and documents required for the execution of the contract with his order. The customer is obliged to check himself whether he meets the requirements for the goods (e.g. whether an emissions sticker or environmental sticker can be issued on his truck). INGE is entitled to demand compensation from the customer for any expenses that arise from a breach of this obligation.

3.2 The ordering process in the shop comprises six steps. In the first step, the desired goods can be selected and the necessary information for the goods can be entered. In the second step the customer gets to the checkout. If the customer is not yet logged in, he must log in or register before going to the checkout. In the third step, the customer gives his billing address. In the fourth step, the customer selects the shipping method and has the option of specifying a delivery address that differs from the billing address. In the fifth step, the customer can specify his payment method. In the last step, the customer has the opportunity to check and correct all information again before sending his order to INGE by clicking on “Order now”. The customer has the option at any time to check the contents of his shopping cart before sending the order and to make changes.

3.3 INGE will confirm receipt of the order; this confirmation does not yet constitute an acceptance of the contract. The offer is accepted by separate e-mail, at the latest when the ordered goods are dispatched. INGE is not obliged to accept offers from customers and can refuse acceptance at any time without giving reasons. In this case, INGE will immediately inform the customer of the non-acceptance of the offer by email.

3.4 The customer is not entitled to cancel an order or terminate the contract.

3.5 INGE saves the contract text of the order, after the order has been placed it is no longer accessible to the customer via the INGE system. The customer can read the contract text before sending
